Welcome to the TGN Coaching website terms and conditions.

 

Those apply as between you, the User of this Website and The Golden Network Limited, the owner of this Website.  By accessing this website and/or placing an order for any goods or services listed thereon (“Tailored training”, “One to One coaching”, “Public events” and any other), you agree to be bound by these terms and conditions. We may revise these terms and conditions at any time. Registered Users may be notified when such changes occur.

 

The www.tgncoaching.co.uk website is operated and managed by The Golden Network Limited.

Definitions

In these Terms and Conditions, the following words shall have the following meanings, unless the context requires otherwise:

 

  • Booking confirmation: The Golden Network booking confirmation which will normally set out the details and timing of the Training, the Venue and the Fees;

  • Client: The person who orders Services or accepts an offer from The Golden Network Ltd to deliver the Services;

  • Training: The workshops that The Golden Network agrees to provide subject to these terms and conditions as set out in more detail on the website and/or the booking confirmation;

  • Materials: Any materials and content provided by or on behalf of The Golden Network as part of the Services including, without limitation, printed materials, recorded information, computer disks, CD-ROMS, electronic documents and files and online course materials.

  • Fee(s): The fee(s) payable by the Client for the relevant Services as set out in the Booking Confirmation form or on the Website;

  • General Terms: The general terms and conditions to which the use of the Site is subject as available on the Site from time to time;

  • Intellectual Property Rights: Intellectual property rights including, for the avoidance of doubt, patents, copyright, performers rights, rights in databases, design rights, trade marks and trade names whether registered or unregistered;

  • Services: Services are the TGN coaching services (Trainings, Coaching programs, Workshops and any others) operated by The Golden Network Ltd;

  • The Golden Network or TGN: The Golden Network Limited, a company incorporated in England with company no. 08691414 whose registered address is 10 Larch Court, Carlton Gate W9 3UA;

  • Trainer: The person providing the Services on behalf of The Golden Network;

  • Venue: The third party premises where the Services are to be provided as indicated in the Booking Confirmation form or such other venue which The Golden Network may indicate from time to time;

  • Venue provider: The person or organisation providing the Venue for the Services on behalf of The Golden Network;

  • Venue terms: The terms and conditions of use of the Venue as set by the Venue Providers; and

  • Website: Website is the www.tgncoaching.co.uk website operated by The Golden Network and including the same located at such other domain names nominated by The Golden Network from time to time.

 

In these Terms and Conditions unless the context requires otherwise:

  • Any reference to a clause is to the relevant clause of these Terms and Conditions;

  • Headings are included for convenience only and shall not affect the interpretation of these Terms and Conditions;

  • The singular includes the plural and vice versa;

  • Any gender includes the other gender;

  • Any reference to a statute, statutory provision, subordinate legislation, code or guideline is a reference to such as amended and in force from time to time and to any legislation which re-enacts or consolidates (with or without modification) any such legislation;

  • Any phrase introduced by the terms "including", "include", "in particular" or any similar expression shall be construed as illustrative and shall not limit the sense of the words preceding those terms; and

  • Any reference to "in writing" shall include email.

General Information

These Terms and Conditions cover all of the TGN Coaching Services run by The Golden Network Ltd. Before booking any of our Services, Clients should read these carefully. If you find yourself unable to agree to them, then you must not order or use our Services. If, however, you agree to them unconditionally you may attend the Services subject always to these Terms and Conditions.

 

By booking any of our Services or accepting an offer from The Golden Network Ltd to deliver any Services, or by accessing any of the Services via our Website, you indicate your acceptance of these Terms and Conditions.

 

The Golden Network may amend these Terms and Conditions at any time by posting the amended Terms and Conditions on the Website. The version of the Terms and Conditions that applies to the Services shall always by the version in force at the time a Training, Coaching program or Workshop was ordered or an offer from The Golden Network Ltd to deliver Services was accepted.​

 

Formation of Contract

Any of our services can be booked online via our Website or via email or phone. The arrangements for the Services are subject to The Golden Network confirmation of the booking whether by email, booking confirmation and/or on the booking confirmation screen. For most Services, a deposit of at least 1/3rd of the fee(s) is required. 

 

Terms and Conditions

These Terms and Conditions shall override any previous or contradictory terms and conditions published by The Golden Network or appearing on the Website.

 

Each Client warrants to The Golden Network that it has the full right, power and authority to enter into and perform its obligations under these Terms and Conditions and has not entered into any arrangement which in any way conflicts with these Terms and Conditions or inhibits, restricts or impairs its ability to perform its obligations under these Terms and Conditions.

 

Fees and Payment

We endeavour to keep our fees as competitive as possible and our pricing is under constant review. For this reason, we reserve the right to change our fees and dates without notice.

 

All fees information on the Website is correct at the time of going online. The Golden Network reserves the right to change fees and alter or remove any special offers from time to time and as necessary. Whilst every effort has been made to ensure that all descriptions of Services available from The Golden Network correspond to the actual Services, The Golden Network is not responsible for any variations from these descriptions. This does not exclude our liability for mistakes due to negligence on our part and refers only to variations of the correct Services, not different Services altogether.

 

All prices and fees on the Website do not include VAT.

 

The entire Fees or a deposit are usually payable immediately online at the time of ordering any Services or by BACS payment as indicated in any invoice sent by The Golden Network. We offer payment options that include online payment via paypal, via Stripe or by invoice. Should you wish to be invoiced, we will require payment within 30 days of issue. Any dispute should also be raised within 30 days.

 

Where we offer credit terms, you agree to adhere strictly to those terms agreed.

In the case of Fees which are to be paid by direct debit, the Client agrees and acknowledges that the Client will be required to pay the Fees in full regardless of whether the Client subsequently cancels the Services. Therefore in the event that the Client cancels any Services (subject to clause below) the Client will be required to either continue paying the Fees by direct debit or by an alternative method of payment provided always that all outstanding Fees are paid in full.

 

Interest will be charged on any outstanding balance at the rate of four per cent (4%) above the Bank of England base rate from time to time and calculated monthly on any outstanding amount until payment is received. In case of non-payment of any sum due from the Client (whether formally demanded or not) or of any other breach or non-observance by the Client of any of these Terms and Conditions, The Golden Network shall have the right to terminate the Client’s access to the Website and Services immediately without prejudice to the right to recover all sums payable by the Client or to any other right or remedy available to The Golden Network.

Cancellation, Transfers and Refunds Policy

As part of our checkout process, you will be given the opportunity to check your order and to correct any errors prior to confirming your order. We will also send you an order acknowledgement, detailing the Services you have ordered. However, it is your responsibility to ensure that the items ordered are those you wish to purchase. We may not be able to refund orders placed in error.

We reserve the right refuse to accept any order at our discretion prior to dispatch.

To cancel any of the booked one to one coaching or corporate training, you must inform us in writing or up to 14 days before the Services by emailing info@tgncoaching.co.uk. Providing these conditions have been complied with, you will receive a 50% refund of the price paid for the Services or an exchange credit at your discretion. If the date/s of your workshop are no longer suitable please contact us and we will try our best transfer the booking to another date at no charge.

 

If a Workshop or webinar is cancelled due to reasons outside our control, you will receive a full refund of the price paid or an exchange credit at your discretion.

 

If you are acting as a consumer under the Distance Selling Regulations 2000, you have a statutory right to cancel any distance contract (as defined within the Regulations) within 7 days of the date of purchase as long as you have not yet accessed or used the relevant Services.

Accordingly, you may cancel any contract to purchase the Services during the period up until the relevant Services are delivered (however, please note that where the Services involve development of bespoke Materials then preparation of said Materials shall constitute the beginning of the delivery of Services) or the end of 7 days from the date of purchase, whichever is shorter ("Consumer Cancellation Period"). If you are acting as a consumer and validly cancel any contract for Services within the Consumer Cancellation Period, The Golden Network shall refund to you the Fees paid for the relevant Services. If you are acting as a consumer and cancel any contract for Services outside the Consumer Cancellation Period, the Fees paid by you for the relevant Services shall be non-refundable. The Golden Network will not offer any refund if the client cancels less than 7 days before the start of the Services, or if they do not attend.

 

Training Services

The Golden Network shall procure that the Services are provided by the Trainers to the Clients at the Venues subject to these Terms and Conditions.

 

The Golden Network will use reasonable endeavours to ensure that the Venue shall be the Venue indicated in the Booking Confirmation form, but where this is not possible, The Golden Network reserves the right to procure the use of other Venue(s) or the services of other Venue Provider(s), provided that The Golden Network shall give the Client notice of any such change(s) as soon as is reasonably possible. Any such change(s) shall not constitute a breach of contract and shall not give the Client the right to terminate.

 

The Client acknowledges that the Venue Providers are separate legal entities to The Golden Network and the Client’s use of the Venue(s) is subject to the Venue Terms, which are separate to these Terms and Conditions. The Client shall, and shall ensure that all parties employed or otherwise engaged by it or to whom the Client allows access to the Training shall comply with all Venue Terms relating to the Training and the Client’s attendance at the Training.

 

The Golden Network will use reasonable endeavours to ensure that the Venue Providers provide adequate public liability insurance and other relevant insurances but The Golden Network disclaims all and accepts no liability for the Venue.

 

The Client acknowledges that the Trainers are not employees of The Golden Network and that The Golden Network may, at its sole discretion, procure the services of third parties to provide any part of or all of the Services. The Trainers do not represent The Golden Network and the views and opinions of the Trainers are not necessarily the views and opinions of The Golden Network and The Golden Network disclaims all and accepts no liability for any acts or omissions of the Trainers, or the statements they make or information that they provide.

 

The Golden Network will use reasonable endeavours to ensure that any individually named Trainer(s) shall provide the relevant Services, but where this is not possible, The Golden Network reserves the right to procure the services of suitable alternative Trainer(s), provided that The Golden Network shall give the Client notice of any such change(s) as soon as is reasonably possible. Any such change(s) shall not constitute a breach of contract and shall not give the Client the right to terminate.

 

The Golden Network will use reasonable endeavours to ensure that the Services shall take place on the relevant date(s) and time(s) and at the Venue as agreed, but where this is not possible, The Golden Network reserves the right to alter the date(s), and/or time(s), provided that The Golden Network shall give the Client notice of any such change(s) as soon as is reasonably possible. Any such change(s) shall not constitute a breach of contract and shall not give the Client the right to terminate.

 

The Golden Network hereby grants to the Client a non-exclusive worldwide license for the duration of the Client’s Membership (if any) to download, store, reproduce, transmit, display, copy, and provide access to the Online Course Materials (if any) only to Users who attend the relevant Services and then only within the Client’s single entity and providing always that they are used only for non-commercial purposes.

 

The Client shall not alter or remove any copyright notices or other notices indicating rights in the provided Materials. For the avoidance of doubt, The Golden Network shall not permit the Client to do any of the following without the prior written consent of The Golden Network:

  • Download, store, reproduce, transmit, display (including without limitation display on any intranet or extranet Website), copy, sell, publish, distribute, provide access to or otherwise use the provided Materials for any purposes other than personal use;

  • Sub-license, rent, lease, transfer or assign any Intellectual Property Rights in the provided Materials, to any other person, or attempt to do any of the foregoing;

  • Disclose the provided Materials whether in part or in their entirety to any third party, including any associated or affiliated company;

  • In any way commercially exploit any of the provided Materials content;

  • Use the provided Materials for any unlawful purpose.

 

The Client acknowledges and accepts that there may be technical downtime or errors relating to the provision of Materials. Such downtime or errors may prevent the Materials being accessed by Users of the Website and The Golden Network shall not be liable if access is delayed, prevented from access or displayed incorrectly by any cause beyond our control including server downtime or errors.

Although The Golden Network believes the content of the Materials to be accurate, complete and current, to the fullest extent permitted by law, The Golden Network provides all Materials on an “as is” basis and disclaims all warranties regarding the Materials. Further no advice or information given by The Golden Network or its employees, agents, contractors or suppliers shall create any warranty. It is the Client’s responsibility to verify any information before relying on it. Further, the Materials may include technical inaccuracies or typographical errors. The Golden Network may make changes to the Materials at any time.

 

Service Access

Whilst we endeavour to ensure that this Website is normally available 24 hours a day, we will not be liable if for any reason this Website is unavailable at any time or for any period. Access to this Website may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond our control.

 

Your information

"Your Information" is defined as any information you provide to The Golden Network when registering for any Services or ordering Services or in the process of assisting the arrangement, organisation and preparation of Services or Materials.

 

Your Information and conduct (or any items listed therein) shall not:

  • Be false, inaccurate or misleading;

  • Be fraudulent or involve the sale of counterfeit or stolen items;

  • Infringe any third party's Intellectual Property Rights or other proprietary rights or rights of publicity or privacy;

  • Violate any law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising);

  • Be defamatory, trade libellous, unlawfully threatening or unlawfully harassing;

  • Be obscene, blasphemous, contain any pornography including without limitation child pornography or other legally restricted material;

  • Contain any viruses, Trojan horses, worms, time bombs or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information;

  • Create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers; or

  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with anyone or anything.

 

To enable The Golden Network to use Your Information supplied, such that we are not violating any rights you might have in that information, you agree to grant The Golden Network a non-exclusive, worldwide, perpetual, irrevocable, royalty-free licence and the right to sublicense (through multiple tiers) to use the Intellectual Property Rights you have in Your Information, in any media now known or not currently known. The Golden Network will only use Your Information in accordance with the Privacy Policy of the Website: https://www.tgncoaching.co.uk/privacy-policy.

 

Termination

Without limiting other remedies, The Golden Network may immediately issue a warning, temporarily suspend, indefinitely suspend or terminate any contract for Services and refuse to provide the Services to you if:

  • You breach these Terms and Conditions;

  • The Golden Network are unable to verify or authenticate any information you provide to us;

  • The Golden Network believe that your actions may cause legal liability for you, our members or us; or

  • You have a receiver, administrator or administrative received appointed over all or a substantial part of your assets, or are the subject of any petition for winding up which is not promptly dismissed or issue any notice in connection with the passing of any resolution by its shareholders for your winding-up or are otherwise the subject of proceedings for bankruptcy or enter into an arrangement with your creditors generally or are otherwise unable to pay its debts as they fall due, or otherwise cease trading or if anything analogous occurs in a foreign jurisdiction.

Users should be aware that they use the website and its Content at their own risk.

 

You expressly agree that The Golden Network is not liable for any loss or damage you suffer as a result of your reliance on negligent, false, inaccurate or fraudulent representations of other users of TGN coaching and our Services, and you further agree that you will hold The Golden Network completely harmless in this regard and you will waive any claim against The Golden Network in this regard.

We, any other party (whether or not involved in creating, producing, maintaining or delivering this Website), and any of our group companies and the officers, directors, employees, shareholders or agents of any of them, exclude all liability and responsibility for any amount or kind of loss or damage that may result to you or a third party (including without limitation, any direct, indirect, punitive or consequential loss or damages, or any loss of income, profits, goodwill, data, contracts, use of money, or loss or damages arising from or connected in any way to business interruption, and whether in tort (including without limitation negligence), contract or otherwise) in connection with this Website in any way or in connection with the use, inability to use or the results of use of this Website, any websites linked to this Website or the material on such websites, including but not limited to loss or damage due to viruses that may infect your computer equipment, software, data or other property on account of your access to, use of, or browsing this Website or your downloading of any Material from this Website or any websites linked to this Website.

No agency

You agree that You and The Golden Network are independent contractors, and no agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship is intended or created by these Terms and Conditions or by your purchase of any Services.

 

Notices

All notices required to be served on The Golden Network shall be sent to the contact address or to the e-mail address of The Golden Network stated at the start of those terms and conditions or as otherwise notified on the Website from time to time for such purpose. All notices required to be served by The Golden Network shall be sent to the relevant contact email address or e-mail address supplied to The Golden Network by the Client or as notified by the Client from time to time for such purpose.

 

General

Entire agreement

Each party confirms that these Terms and Conditions and any document incorporated by reference set out all of the terms governing the provision of Services to the Client and that it takes priority over all previous agreements, arrangements and understandings between them relating to the subject matter of Services. The Client confirms that it has not relied upon any statement, representation or understanding that is not an express term and shall not have any remedy in respect of any statement, representation or understanding which is not an express term unless made fraudulently.

 

Waiver

No failure or delay exercise by any party in exercising any right, power or remedy under these Terms and Conditions will operate as a waiver of that or any other right, power or remedy nor will any single or partial exercise by either party of any right, power or remedy preclude any further exercise of any other right, power or remedy.

 

Severance

To the extent that any provision of these Terms and Conditions is found by any court or competent authority to be invalid, unlawful or unenforceable in any jurisdiction, that provision shall be deemed not to be a part of these Terms and Conditions, it shall not affect the validity, lawfulness or enforceability of the remainder of these Terms and Conditions nor shall it affect the validity, lawfulness or enforceability of that provision in any other jurisdiction.

 

Force Majeure

A party will not be liable for any failure/delay in performing its obligations under these Terms and Conditions to the extent that this failure is the result of any cause or circumstance beyond the reasonable control of that party including acts of god, war, civil commotion or industrial dispute and that failure could not have been prevented or overcome by that party acting reasonably and prudently. If consequently either party is prevented from performing its obligations for a period exceeding three (3) months then the other party may terminate any agreement for the provision of Training immediately on written notice.

 

Rights of Third Parties

Nothing in these Terms and Conditions shall create or confer any rights or other benefits whether pursuant to the Contracts (Rights of Third Parties) Act 1999 or otherwise in favour of any person other than the parties to these Terms and Conditions.

 

Further Assurance

Each party shall at the cost and expense of the other party use all reasonable endeavours to do all such further acts and things and execute or procure the execution of all such other documents as that party may from time to time reasonably require for the purpose of giving that party the full benefit of the assets, rights and benefits to be transferred to the other party under these Terms and Conditions.

 

Governing Law

These Terms and Conditions and the relationship between you and The Golden Network shall be governed by and construed in accordance with the Law of England and Wales and The Golden Network and you agree to submit to the exclusive jurisdiction of the Courts of England and Wales. Disputes arising in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the English courts.

 

We do not warrant that Services, materials or any items for sale on the Website are appropriate or available for use outside the United Kingdom. It is prohibited to access the Website from territories where its contents are illegal or unlawful. If you access this Website from locations outside the United Kingdom, you do so at your own risk and you are responsible for compliance with local laws.

 

Disclaimer

Whilst we take all reasonable steps to ensure that the information on this Website is correct, we do not warrant the accuracy and completeness of the material and Services on this Website.
